Abstract
Skema KPBU unsolicited Bandara Kediri merupakan langkah inovatif untuk mengatasi keterbatasan anggaran negara dalam penyediaan infrastruktur, namun penerapan skema ini masih menghadapi tantangan serius terkait proporsionalitas pembagian risiko dan derajat kepastian hukum dalam rangka menjaga kepentingan publik selama masa konsesi 50 tahun. Penelitian ini menggunakan metode penelitian hukum normatif dengan pendekatan perundang-undangan dan pendekatan konseptual. Data yang digunakan bersumber dari bahan hukum primer, sekunder, dan tersier yang dianalisis secara kualitatif melalui teknik studi kepustakaan. Hasil penelitian menunjukkan bahwa kerangka regulasi KPBU unsolicited telah memiliki landasan konstitusional serta operasional yang kokoh, namun masih belum memberikan derajat kepastian hukum yang tinggi karena terjadinya pergeseran alokasi risiko yang besar ke pihak swasta, munculnya ketimpangan informasi (information asymmetry) dan potensi perilaku oportunistik (moral hazard) yang pada akhirnya dapat mengesampingkan kepentingan publik (overall social utility). Guna mewujudkan kepastian hukum, pemerintah perlu segera menginisiasi standarisasi alokasi risiko nasional, penguatan kapasitas evaluasi independen terhadap dokumen studi kelayakan serta mengintegrasikan klausul peninjauan berkala (periodic review) dalam perjanjian KPBU terkait mitigasi risiko teknologi mencakup keusangan teknologi dan ketidaksiapan sumber daya manusia saat adapatasi teknologi baru./The unsolicited Public-Private Partnership (PPP) scheme for Kediri Airport represents an innovative approach to addressing limitations in the state budget for infrastructure provision. However, the implementation of this scheme still faces serious challenges regarding the proportionality of risk allocation and the degree of legal certainty required to safeguard the public interest throughout the 50-year concession period. This study uses normative legal research methods with both legislative and conceptual approaches. The data used consist of primary, secondary, and tertiary legal materials analyzed qualitatively through literature review. The research findings indicate that the regulatory framework governing unsolicited Public-Private Partnership (PPP) projects has established a strong constitutional and operational foundation. However, it has not yet provided a high degree of legal certainty due to the substantial shift in risk allocation to the private sector, the emergence of information asymmetry, and the potential for opportunistic behavior (moral hazard), which may ultimately undermine the public interest (overall social utility) To achieve greater legal certainty, the government should promptly initiate the standardization of national risk allocation mechanisms, strengthen the capacity for independent evaluation of feasibility study documents, and integrate periodic review clauses into PPP agreements to mitigate technology-related risks, including technological obsolescence and the lack of human resource readiness in adapting to new technologies.
