Abstract

Penelitian ini bertujuan untuk mengetahui penerapan aspek legalitas dan asas kepastian hukum dalam kontrak bisnis menurut ketentuan peraturan perundang-undangan yang berlaku di Indonesia dan bagaimana penerapan aspek legalitas dan kepastian hukum dalam kontrak bisnis menurut Putusan Nomor: 394/Pdt.G/2010/PN.Jkt.Sel. Penelitian ini masuk dalam jenis penelitian hukum normatif-yuridis dengan pendekatan hukum yang digunakan yaitu pendekatan perundang-undangan dan pendekatan konseptual serta pendekatan sosiologis yang berdasarkan pada Teori Kepastian Hukum dan Teori Keadilan. Bahan hukum yang digunakan adalah bahan hukum primer, sekunder dan tersier. Analisis bahan hukum yang digunakan adalah analisa kualitatif. Penelitian ini disusun dengan tahapan pengkajian analisa dari aspek legalitas sahnya suatu kontrak bisnis. Bagaimana menentukan jenis kontrak bisnis dan undang – undang yang mengatur hal tersebut. Lalu bagaimana jika perjanjian bisnis tersebut tidak termasuk salah satu perjanjian yang ada, tetapi merupakan perjanjian tidak bernama (innominaat), sebagai Perjanjian yang tidak disebut sebagai nama khusus dalam Buku Ketiga KUHPerdata. Menganalisa bagaimana Penegak Hukum menyikapi perjanjian seperti ini dan bagaimana kepastian hukum bagi para pihak yang mengikatkan diri dalam perjanjian ini. / This study aims to determine the aspects of legality and the principle of legal certainty in business contracts according to the provisions of the laws and regulations in force in Indonesia, and the application of the aspects of legality and legal certainty in business contracts according to the Decision of the District Court Number 394/Pdt.G/2010/PN.Jkt.Sel. This research is considered normative-yuridical legal research, namely the statutory approach and the conceptual approach, as well as the sociological approach based on the Theory of Legal Certainty and the Theory of Justice. The legal materials used are primary, secondary, and tertiary legal materials. Qualitative analysis is used to analyse legal materials. This research was compiled with the stages of analysis of the legal aspects of the legitimacy of a business contract: how to determine the type of business contract and the laws that govern it. The next step is questioning the scenario of when a business agreement is not one of the existing agreements but rather an anonymous agreement (innominaat), as an agreement that is not specially mentioned in the Third Book of the Civil Code. How does the court respond to agreements like this, and what the legal certainty would be for the parties that are bound by this agreement?
