Abstract

Kelangsungan hidup perusahaan dipengaruhi oleh kondisi dimana tata kelola perusahaan diterapkan dengan baik. Meningkatnya skandal bisnis atau runtuhnya perusahaan-perusahaan di seluruh dunia terbukti berkaitan dengan Good Corporate Governance (GCG). Menjalankan tata kelola yang baik atau GCG sangat diperlukan oleh semua perusahaan termasuk PT. Mikata Transportasi Logistik selaku perusahaan yang bergerang dibidang freight forwading dimana memiliki banyak risiko. Walaupun merupakan perusahaan yang berumur 3 tahun dengan kapasitas karyawan yang relatif kecil, PT. Mikata Transportasi Logistik tetap membutuhkan GCG yang dijalankan dengan baik, konsisten dan tepat oleh manajemen. Peneliatian ini dilakukan dengan tujuan menggambarkan peta proses bisinis, menentukan nilai risiko dari Tata Kelola yang tidak dijalanlan dengan baik dan memberikan usulan untuk melakukan Mitigasi kepada manajemen PT. Mikata Transportasi Logistik. Metode kualitatif deskriptif adalah metode yang digunakan penelitian ini. Hasil penelitian ini mengidentifikasi terdapat 12 kejadian yang tidak diinginkan / risiko dari 5 asas GCG yaitu transparency, accountability, responsibility, indenpendency dan fairness. Peneliti berharap dengan beberapa usulan yang diberikan untuk memitigasi risiko-risiko, risiko-risiko tersebut dapat diklasifikan ke risiko yang dapat diterima (acceptable). The increasing business scandals or the collapse of companies worldwide have been proven to be related to Good Corporate Governance (GCG). Implementing good corporate governance, or GCG, is crucial for all companies, including PT. Mikata Transportasi Logistik, a company engaged in freight forwarding with many risks, despite being a relatively young company with a small workforce for three years. PT. Mikata Transportasi Logistik still requires wellexecuted, consistent, and appropriate GCG by management. This research aims to depict the business process map, determine the risk value of poorly implemented Corporate Governance, and propose mitigation measures to the management of PT. Mikata Transportasi Logistik. The qualitative descriptive method is employed for this research. The results identify 12 undesirable events/risks related to the five principles of GCG: transparency, accountability, responsibility, independence, and fairness. The researcher hopes that with the proposed mitigation measures, these risks can be classified as acceptable risks.
