Abstract
Sengketa pembatalan Merek yang masih kerap menjadi permasalahan hukum dalam penerapan Hak Kekayaan Intelektual ternyata memberikan dampak yang signifikan dalam praktik ekspansi bisnis Waralaba (Franchise). Apabila pembatalan Merek terjadi, maka pemilik Merek atau pemberi waralaba (franchisor) menjadi kehilangan hak atas merek tersebut, sehingga konsekuensi logisnya adalah penerima waralaba merupakan salah satu pihak yang harus merasakan dampak dari pembatalan Merek tersebut. Dengan demikian, syarat dan ketentuan perjanjian waralaba berperan krusial dalam memberikan perlindungan hukum kepada pemegang waralaba. waralaba yang menjadi landasan hukum dalam mengatur hubungan antara pemberi dan penerima waralaba. Selain itu implikasi hukum terjadinya pembatalan Merek ini juga mengakibatkan perjanjian waralaba yang sedang berlangsung menjadi batal demi hukum. Hal ini dikarenakan hilangnya obyek perjanjian waralaba yaitu Merek yang diberikan oleh pemberi waralaba kepada penerima waralaba untuk diguanakan pada franchisee. Penelitian ini bertujuan untuk menjelaskan perlindungan hukum yang dapat diberikan kepada penerima waralaba akibat adanya pembatalan Merek serta memahami implikasi hukum terhadap perjanjian waralaba yang masih berjalan. Dalam penelitian ini metode yang digunakan adalah penelitian hukum normatif dengan sumber data penelitian menggunakan bahan hukum primer, sekunder dan tersier. Untuk membedah rumusan masalah yang diangkat, teori yang diguanakan adalah teori perlindungan hukum dan kepastian hukum. Kata Kunci: Merek, pembatalan merek, waralaba. / Trademark cancellation disputes that are still often a legal problem in the application of Intellectual Property Rights turned out to have a significant impact in the practice of business expansion Franchise (Franchise). If Trademark cancellation occurs, the Trademark owner or franchisor loses the right to the trademark, so the logical consequence is that the franchisee is one of the parties that must feel the impact of the Trademark cancellation. Thus, the terms and conditions of the franchise agreement play a crucial role in providing legal protection to franchisees. franchise which becomes the legal basis in regulating the relationship between the grantor and the franchisee. In addition, the legal implications of the Trademark cancellation also result in the ongoing franchise agreement becoming null and void. This is due to the loss of the object of the franchise agreement, namely the Trademark given by the franchisor to the franchisee to be used on the franchisee. This study aims to explain the legal protection that can be given to franchisees due to the cancellation of Trademark and understand the legal implications of the ongoing franchise agreement. In this study the method used is normative legal research with research data sources using primary, secondary and tertiary legal materials. To dissect the formulation of the problems raised, the theory used is the theory of legal protection and legal certainty. Keywords: Trademark, trademark cancellation, franchise.
