Abstract

Pertambangan Mineral dan batubara adalah salah satu potensi yang menghasilkan dampak yang sangat besar bagi negara berkembang seperti Indonesia. Indonesia membutuhkan banyak pemasukan untuk tetap dapat memelihara kesejahteraan hidup seluruh masyarakat Indonesia, karena itu Indonesia memerlukan investor asing. Indonesia yang memang kaya akan sumber daya alam, semakin membulatkan tekad para investor untuk berimvestasi di Indonesia, khususnya di bidang pertambangan mineral dan batubara. Untuk semakin menarik para investor asing, Indonesia harus membuat satu sistem kesatuan hukum yang bisa melindungi keduanya. Ketika ada aktivitas kerjasama pengusahaan sumber daya alam nasional, maka disana diperlukan suatu sistem hukum yang pasti untuk tetap melindungi kedaulatan dan kepentingan nasional seperti yang diamanatkan dalam pasal 33 ayat 3 UUD 1945. Bentuk dukungan Pemerintah atas kegiatan pengusaaan pertambangan di Indonesia adalah ditetapkannya UU No. 4 Tahun 2009 tentang Minerba sebagai ganti UU pertambangan. Dalam UU Minerba terdapat ketentuan kewajiban divestasi saham yang menjadi syarat mutlak para penanam modal asing dalam berinvestasi di Indonesia. Kewajiban divestasi saham berbicara tentang kewajiban mengalihkan saham dengan menjual kepada peserta Indonesia dengan besaran dan waktu yang ditetapkan dalam perundang-undangan. Peraturan Pelaksana atas UU Minerba tentang kewajiban divestasi saham yang sedang berlaku adalah PP No. 1 Tahun 2017, yang mengatur jumlah kewajiban divestasi saham oleh setiap perusahaan pertambangan mineral adalah sebesar 51%. Kewajiban tersebut lahir dari Undang-Undang dan terdapat dalam pengaturan Kontrak Karya meskipun tetap berbeda. Dalam skripsi ini, metode penelitian yang digunakan adalah yuridis normatif yaitu dengan pendekatan kasus yang akan dianalisis oleh penulis dan meneliti bahan pustaka yang berkaitan dengan topik yamg dibahas. Dalam hal ini, penulis meneliti bahanbahan yang berkaitan dengan kewajiban divestasi saham dari berbagai undangundang, buku-buku dan bahan lainnya yang akan penulis bahasan pertama dan selanjutnya dihubungkan dengan penerapan ketentuan kewajiban divestasi saham yang termuat dalam Undang-undang dalam renegosiasi kontrak PT. Freeport Indonesia. Hasilnya, perundang-undangan di Indonesia yang mengatur ketentuan divestasi saham khususnya pertambangan terdapat dalam UU Minerba dan PP pelaksananya, dan setelah melewati renegosiasi akhirnya PT. Freeport Indonesia dan Pemerintah Indonesia sepakat bahwa kewajiban divestasi saham PT. Freeport Indonesia adalah sebesar 51%. Sehingga, hasil penelitian ini menunjukkan bahwa hasil renegosiasi PT. Freeport Indonesia sebesar 51% telah sesuai dengan ketentuan dalam UU Minerba dan ketentuan dalam Kontrak Karya PT. Freeport Indonesia dan telah diterapkan meskipun waktu pelaksaannya tidak sesuai UU. Kata Kunci : Kewajiban divestasi saham, renegosiasi, kontrak karya Mineral and coal mining is one of the potentials that has a huge impact on developing countries like Indonesia. Indonesia needs a lot of income to be able to maintain the welfare of all Indonesian people, therefore Indonesia needs foreign investors. Indonesia, which is indeed rich in natural resources, is increasingly making the determination of investors to invest in Indonesia, especially in the fields of mineral and coal mining. To attract more foreign investors, Indonesia must create a system of legal entities that can protect both. When there are collaborative activities for the exploitation of national natural resources, there is a definite legal system that is there to protect national sovereignty and interests as mandated in article 33 paragraph 3 of the 1945 Constitution. The form of Government support for mining operations in Indonesia is the enactment of law No. 4 of 2009 concerning mining of minerals and coal in lieu of the mining law. In the mineral and coal mining law there are provisions on the obligation to divest shares which are an absolute requirement for foreign investors to invest in Indonesia. The obligation to divest shares speaks of the obligation to transfer shares by selling to Indonesian participants with the amount and time stipulated in the legislation. The implementing regulation on the mineral and coal mining law regarding the obligation to divest the shares currently in effect is PP No. 1 of 2017, which regulates the number of divestment obligations of each mineral mining company is 51%. This obligation is born from the Law and is contained in the Contract of Work arrangement even though it remains different. In this thesis, the research method used is normative juridical, namely with a case approach that will be analyzed by the author and examines library material relating to the topic discussed. In this case, the author examines the materials relating to the obligation to divest shares of various laws, books and other materials which the first author will discuss and then relates to the application of the provisions of the obligation to divest the shares contained in the Law in renegotiating contracts PT. Freeport Indonesia. As a result, the legislation in Indonesia which regulates the provisions of divestment of shares, especially mining, is contained in the mineral and coal mining law and the implementing Government Regulation, and after passing the renegotiation, finally PT. Freeport Indonesia and the Indonesian Government agreed that the obligation to divest the shares of PT. Freeport Indonesia is 51%. So, the results of this study indicate that the results of the renegotiation of PT. Freeport Indonesia is 51% in accordance with the provisions in the mineral and coal mining law and the provisions in the Contract of Work of PT. Freeport Indonesia and has been implemented even though the implementation time is not in accordance with the law. Keywords : Obligation to divest shares, renegotiation, Contract of work
