Abstract
Corruption in Indonesia occurs systematically and extensively, not only harming the state's finances but also violating the social and economic rights of society at large, so corruption is an extraordinary crime (extra ordinary crime). Therefore, the eradication of corruption needs to be done in extraordinary ways (extra ordinary measures). Corruption Eradication of State-Owned Corporations can be pursued by other means such as civil law and administrative law must take precedence before being pursued through criminal law. The application of the ultimum remedium principle can be said precisely because the enforcement of criminal law against State-Owned Enterprises should consider the context of the economic and social situation of its existence in public life. The issues discussed in this thesis are meant to know the state finance refers to the State owned / self-financing State Owned / Owned Enterprises Law or other parties in the form of money, securities, goods, goods and other rights. Article 1 Sub-Article 1 of the Company Law, states that "State-Owned Enterprises, hereinafter referred to as BUMNs, are entities wholly or mostly of state-owned capital through direct participation derived from separated state assets", Article 4 paragraph 1 states " of separated state assets ", and then in the elucidation of Article 4 paragraph 1 it is explained that" the capital of a State-Owned Enterprise is derived from state assets that have been separated by the State Revenues and Expenditures Budget, subsequently the development and management is not based on the state budget system, on the principles of a healthy company ". The results of the study and discussion make it clear that the application of Ultimum Remedium Principle as the most fundamental principle in criminal law can be applied to corruption acts that occur in State-Owned Enterprises, although the eradication of corruption in Indonesia is currently undertaken indiscriminately, State-Owned Enterprises activities as contained in the case a criminal act of corruption which was decided by the Supreme Court Number 2149 K / Pid.Sus / 2011 by emphasizing on the settlement through civil law and administrative law. The application of the ultimum remedium principle is also in line with the Business Judgment Rule (BJR) doctrine and the theory of economic analysis of the law. The implication of this approach is that the directors of State-Owned Enterprises can make business decisions based on cost and benefit analysis./Korupsi di Indonesia terjadi secara sistematis dan meluas, tidak hanya merugikan keuangan negara tetapi juga melanggar hak-hak sosial dan ekonomi masyarakat secara luas, sehingga korupsi merupakan kejahatan yang luar biasa (extra ordinary crime). Oleh karena itu, pemberantasan korupsi perlu dilakukan dengan cara-cara yang luar biasa (extra ordinary measures). Pemberantasan Tindak Pidana Korupsi terhadap BUMN Persero dapat ditempuh dengan jalur lain seperti hukum perdata dan hukum administrasi harus didahulukan sebelum ditempuh melalui jalur hukum pidana. Penerapan asas ultimum remedium dapat dikatakan tepat karena penegakan hukum pidana terhadap BUMN Persero harus mempertimbangkan konteks situasi ekonomi dan sosial dari eksistensinya dalam kehidupan masyarakat. Permasalahan yang dibahas dalam tesis ini di maksud untuk mengetahui keuangan negara mengacu pada UU PT/BUMN kuangan negara yang dikelolah sendiri atau pihak lain berupa uang, surat berharga, piuatang, barang, serta hak-hak lain. Pasal 1 angka 1 UUPT, mengatakan bahwa “ Badan Usaha Milik Negara yang selanjutnya disebut BUMN adalah badan usaha yang seluruh atau sebagian besar modalnya dimiliki negara melalui penyertaan secara langsung yang berasal dari kekayaan negara yang dipisahkan”, Pasal 4 ayat 1 menyatakan “modal BUMN berasal dari kekayaan negara yang dipisahkan”, dan kemudian dalam penjelasan Pasal 4 ayat 1 di jelaskan bahwa “ modal BUMN berasal dari kekayaan negara yang telah dipisahkan oleh APBN, selanjutnya pembinaan dan pengelolaannya tidak didasarkan oleh sistem APBN, melainkan didasarkan pada prinsip-prinsip perusahan yang sehat”. Hasil penelitian dan pembahasan mewujudkan bahwa penerapan Asas ultimum remedium sebagai asas yang paling fundamental dalam hukum pidana dapat diterapkan terhadap tindak pidana korupsi yang terjadi di lingkungan BUMN Persero, walaupun pemberantasan korupsi di Indonesia saat ini dilakukan tanpa pandang bulu, kegiatan BUMN Persero sebagaimana terdapat dalam kasus tindak pidana korupsi yang diputus oleh Mahkamah Agung Nomor 2149 K/Pid.Sus/2011 dengan menekankan pada penyelesaian melalui hukum perdata dan hukum administrasi. Penerapan asas ultimum remedium juga sejalan dengan doktrin Business Judgement Rule (BJR) dan teori analisis ekonomi terhadap hukum. Implikasi dari pendekatan ini ialah bahwa direksi BUMN Persero dapat melakukan keputusan bisnis berdasarkan cost and benefit analysis.
