Abstract

ABSTRAK Perum LPPNPI atau lebih dikneal dengan istilah Air Nav Indonesia berkomitmen untuk menerapkan dan menjaga praktek tata kelola perusahaan yang baik dengan kualitas dan standar yang tinggi. Penerapan GCG pada AirNav Indonesia ditujukan untuk menjadikan GCG sebagai bagian dari Budaya Perusahaan, yang pelaksanaannya didukung oleh nilai-nilai perusahaan yang melekat di setiap Insan Air Nav Indonesia. Penerapan GCG diyakini mampu memperkuat posisi daya saing perusahaan secara berkesinambungan, mengelola sumber daya dan risiko secara lebih efisien dan efektif, meningkatkan corporate value dan kepercayaan investor. Tesis ini mengkaji bagaimana penerapan GCG dalam Perum LPPNPI sejak perubahan UU No 1 Tahun 2025 Tentang Perubahan Ketiga atas UU No. 19 Tahun 2003 tentang BUMN. Jenis penelitian yang diangkat merupakan penelitian yuridis normatif (penelitian hukum kepustakaan). Dengan menggunakan data sekunder, maka bahan hukum yang digunakan terdiri bahan hukum primer, sekunder dan tersier. Kajian penelitian yang didapatkan bahwa Penerapan Good Corporate Governance Di Perum LPPNPI Berdasarkan Ketentuan Hukum Positif di Indonesia, yaitu dimulai dari pengalihan pengelola jasa navigasi tunggal yang awalnya dikelola oleh PT Angkasa Pura I dan II (tanggung jawab ganda), kemudian digantikan pengelolaannya oleh Perum LPPNPI pada Tahun 2012 berdasarkan PP/77/201 tujuannya adalah untuk menciptakan satu badan yang bertanggung jawab penuh atas pelayanan navigasi penerbangan, yang diharapkan dapat meningkatkan kualitas dan konsistensi layanan. Selain itu untuk meningkatkan efisiensi, dibuatkan bahwa Kementerian BUMN sebagai pemegang saham dan Kementerian Perhubungan sebagai regulator memainkan peran penting dalam pengawasan operasional lembaga ini. Dimana, Kementerian Perhubungan berperan sebagai badan pengawas, memastikan bahwa AirNav Indonesia mematuhi standar keselamatan dan efisiensi yang ditetapkan. Berdasar ketentuan Pasal 4 PP No. 77 Tahun 2012 menetapkan prinsip-prinsip dasar dalam penyelenggaraan layanan navigasi penerbangan oleh Perum LPPNPI. Keywords: Good Corporate Governance, Public Company of LPPNPI, Position Interests. / ABSTRACT Perum LPPNPI or better known as Air Nav Indonesia is committed to implementing and maintaining good corporate governance practices with high quality and standards. The implementation of GCG at AirNav Indonesia is intended to make GCG a part of the Corporate Culture, the implementation of which is supported by the company values inherent in every Air Nav Indonesia Personnel. The implementation of GCG is believed to be able to strengthen the company's competitive position sustainably, manage resources and risks more efficiently and effectively, increase corporate value and investor confidence. This thesis examines how GCG is implemented in Perum LPPNPI since the amendment to Law No. 1 of 2025 concerning the Third Amendment to Law No. 19 of 2003 concerning BUMN. The type of research raised is normative legal research (library legal research). By using secondary data, the legal materials used consist of primary, secondary and tertiary legal materials. The research study found that the Implementation of Good Corporate Governance in Perum LPPNPI Based on Positive Legal Provisions in Indonesia, namely starting from the transfer of the management of a single navigation service which was initially managed by PT Angkasa Pura I and II (dual responsibility), then replaced by Perum LPPNPI in 2012 based on PP / 77/201 the aim is to create a single body that is fully responsible for flight navigation services, which is expected to improve the quality and consistency of service. In addition, to improve efficiency, it was made that the Ministry of BUMN as a shareholder and the Ministry of Transportation as a regulator play an important role in supervising the operations of this institution. Where, the Ministry of Transportation acts as a supervisory body, ensuring that AirNav Indonesia complies with the established safety and efficiency standards. Based on the provisions of Article 4 of PP No. 77 of 2012, the basic principles in the implementation of flight navigation services by Perum LPPNPI are set.
