Abstract

Penulisan ini membahas mengenai Tanggung Jawab Direksi Terhadap Perseroan Terbatas Metro Batavia yang dinyatakan pailit. Tujuan dilakukannya penulisan ini adalah untuk mengetahui bagaimana tanggung jawab dan kedudukan Direksi dalam perusahaan perseroan terbatas terhadap perusahaan yang mengalami pailit menurut Undang-undang No. 40 Tahun 2007. Dengan menggunakan metode penelitian Yuridis normatif, maka dapat disimpulkan : 1. Tanggung jawab direksi perseroan terbatas dibedakan setidak-tidaknya menjadi empat kategori : Tanggung jawab berdasarkan prinsip fiduciary duty dan duty to skill and care, Tanggung jawab berdasarkan doktrin business judgement rule, Tanggung jawab berdasarkan prinsip Ultra Vires adalah suatu prinsip yang mengatur akibat hukum seandainya ada tindakan direksi untuk dan atas nama perseroan; Tanggung jawab berdasarkan prinsip Piercing The Corporate veil merupakan topic yang sangat popular dalam hukum perusahaan, bukan saja dalam tata hukum Indonesia, melainkan dalam hukum modern di negara lain. 2. Dalam proses pertanggungjawaban pendiri jika perseroan mengalami kepailitan pendiri harus bertanggungjawab sesuai dengan yang ditegaskan dalam pasal 104 ayat 2 UUPT. / This writing discusses the Responsibilities of Directors Metro Batavia Limited Liability Company which was declared bankrupt. The purpose of doing it This writing is to find out what the responsibilities and positions are Directors in limited liability companies for companies that experiencing bankruptcy according to Law no. 40 of 2007. With using normative juridical research methods, it can be concluded: 1. The responsibilities of a limited liability company are divided into at least: four categories: Responsibility based on the principles of fiduciary duty and duty to skill and care, Responsibility based on the doctrine of the rules of business judgment, Responsibility based on the principle of Ultra Vires is a principle that regulates the legal consequences if there is action in the direction and on behalf of company; Responsibility based on the principle of Piercing The Corporate Veil is a very popular topic in company law, not only in the Indonesian legal system, but also in modern law in other countries. 2. Deep the founder's accountability process if the company experiences bankruptcy of the founder must fight in accordance with what is stated in article 104 paragraph 2 UUPT.
