Abstract

Terjadi suatu fenomena yang menarik didalam masyarakat Indonesia saat ini, yaitu praktik peminjaman yang diikat dengan Perjanjian Pengikatan Jual Beli (PPJB) dan Kuasa Menjual, yang dilakukan oleh masyarakat dimana pihak yang meminjam, yang disebut sebagai debitur, setuju untuk menjaminkan tanah atau rumah mereka kepada pihak kreditur dengan menandatangani PPJB dan Kuasa Menjual dihadapan Notaris. Namun, permasalahan timbul ketika pihak yang memberikan pinjaman, yang disebut sebagai kreditur, mengubah nama pada sertifikat properti di Badan Pertanahan Nasional tanpa sepengetahuan atau persetujuan dari pihak debitur. Tujuan dari penelitian ini adalah untuk mengkaji keabsahan Perjanjian Pengikatan Jual Beli yang dilakukan jika terdapat perjanjian lain yang tersembunyi di dalamnya. Selain itu, penelitian ini juga bertujuan untuk meneliti akibat dari perjanjian utang piutang yang menggunakan Perjanjian Pengikatan Jual Beli dan Kuasa Menjual bagi para pihak. Penelitian ini menggunakan metode penelitian hukum normatif yang mengandalkan analisis kepustakaan dan undang-undang sebagai acuan. Data dikumpulkan dan dianalisis, kemudian kesimpulan diambil menggunakan metode deduktif. Melalui hasil penelitian ini, diharapkan dapat memperoleh pemahaman tentang keabsahan dan akibat atau konsekuensi dari perjanjian utang piutang melalui pembuatan perjanjian pengikatan jual beli dan kuasa menjual bagi kedua belah pihak. Dalam hasil penelitian ini dapat disimpulkan bahwa perjanjian utang piutang, Perjanjian Pengikatan Jual Beli (PPJB) dan Kuasa Menjual memiliki dua konstruksi hukum yang berbeda. Kedua perjanjian tersebut memiliki prinsip yang berbeda, sehingga menyebabkan ketidakpastian hukum bagi para pihak. Hal ini disebabkan karena kausa perjanjian tidak benar dan tidak sesuai dengan konstruksi hukum yang berlaku, serta melanggar syarat objektif mengenai kausa yang sah sebagaimana diatur dalam Pasal 1320 KUHPerdata. / There is an interesting phenomenon occurring within Indonesian society currently, which involves the practice of borrowing tied to a Sale and Purchase Binding Agreement (Perjanjian Pengikatan Jual Beli or PPJB) and Power of Attorney to Sell. In this practice, the borrowers, known as debtors, agree to mortgage their land or house to the creditors by signing the PPJB and Power of Attorney to Sell before a Notary. However, issues arise when the lenders, known as creditors, change the name on the property certificate at the National Land Agency without the knowledge or consent of the debtors. The purpose of this research is to examine the validity of the Sale and Purchase Binding Agreement when there are hidden agreements within it. Additionally, this study aims to investigate the consequences of debt agreements that utilize the Sale and Purchase Binding Agreement and Power of Attorney to Sell for the parties involved. This research adopts a normative legal research method that relies on literature analysis and the law as references. Data is collected and analyzed, and conclusions are drawn using deductive methods. Through this research, it is hoped to gain an understanding of the validity and consequences of debt agreements through the creation of Sale and Purchase Binding Agreements and Power of Attorney to Sell for both parties. Based on the results of this research, it can be concluded that debt agreements, the Sale and Purchase Binding Agreement (PPJB), and Power of Attorney to Sell have two different legal constructions. These two agreements have different principles, which create legal uncertainties for the parties involved. This is because the cause of the agreement is incorrect and does not comply with the applicable legal constructions, thus violating the objective requirements regarding valid cause as stipulated in Article 1320 of the Indonesian Civil Code (KUHPerdata).
