Abstract

Merger yang dilakukan oleh 3 bank syariah jadi entitas baru yakni Bank Syariah Indonesia (BSI) sudah menunjukkan bahwasanya peristiwa hukum merger sudah menimbulkan sejumlah akibat hukum langsung terhadap nasabah, di antaranya perubahan status hukum perjanjian perbankan, migrasi data nasabah ke sistem informasi BSI, serta potensi pelanggaran terhadap hak privasi nasabah terkait perlindungan data pribadi. Proses perpindahan seluruh hak serta kewajiban perbankan dari bank yang bergabung ke BSI sebagai pihak bank penerima merger sudah menyebabkan berakhirnya status hukum bank-bank sebelumnya. Analisa terhadap regulasi perbankan syariah, serta juga Kebijakan Jasa Keuangan OJK, menunjukkan adanya kerangka hukum yang punya tujuan untuk melindungi kepentingan nasabah dalam konteks merger. Namun demikian, riset ini mengidentifikasi sejumlah tantangan dalam implementasi perlindungan hukum tersebut, yang tercermin dari meningkatnya jumlah pengaduan nasabah terkait kualitas layanan perbankan pasca merger. Berlandaskan temuan riset, peneliti menyimpulkan bahwasanya prinsip kepastian hukum serta perlindungan hukum konsumen ialah pilar fundamental dalam rangka memelihara kestabilan sistem perbankan di Indonesia. Oleh karenanya, diperlukan usaha yang lebih komprehensif untuk memastikan bahwasanya hak-hak nasabah senantiasa terlindungi. / In Indonesia, The merger of 3 Islamic banks into a new entity, Bank Syariah Indonesia (BSI), has shown that the legal event of the merger has caused a number of direct legal consequences to customers, including changes in the legal status of banking agreements, migration of customer data to the BSI information system, and potential violations of customer privacy rights related to personal data protection. The process of transferring all banking rights and obligations from the merged bank to BSI as the receiving bank of the merger has resulted in the end of the legal status of the previous banks. An analysis of the Islamic banking regulations, as well as the OJK Financial Services Regulations, shows that there is a legal framework in place that aims to protect the interests of customers in the context of mergers. However, this research identifies a number of challenges in the implementation of these legal protections, which are reflected in the increasing number of customer complaints regarding the quality of post-merger banking services. Based on the research findings, the researcher concludes that the principles of legal certainty and consumer legal protection are fundamental pillars in order to maintain the stability of the banking system in Indonesia. Therefore, more comprehensive efforts are needed to ensure that customers' rights are always protected.
