Abstract

Penerapan Going Concern (prinsip kesinambungan bisnis) sangat jarang diterapkan dalam kasus kebangkrutan karena UU Kepailitan tidak pernah secara jelas mengatur pengaturannya. Karena tidak adanya pengaturan khusus untuk ini, tolok ukur hakim untuk memutuskan kasus kebangkrutan semata-mata didasarkan pada kondisi kebangkrutan dan bukti sederhana yang terkandung dalam UU No. 37 tahun 2004 meskipun untuk kasus debitur yang mengajukan kebangkrutan masih solvent atau dengan kata lain masih prospektif untuk melanjutkan bisnisnya bahkan dengan itikad baik untuk melunasi utangnya. UU Kepailitan saat ini tidak memasukkan kebangkrutan sebagai persyaratan bagi debitor untuk dinyatakan pailit. Sebagaimana diatur dalam Undang-Undang Kebangkrutan dan Penundaan Kewajiban Pembayaran Utang, menyatakan bahwa debitur yang memiliki kesulitan keuangan untuk membayar utangnya, setidaknya dari dua utang dan salah satunya jatuh tempo, dapat dinyatakan bangkrut oleh Pengadilan Niaga. Persyaratan ini menunjukkan bahwa aplikasi kebangkrutan sangat mudah untuk diajukan terhadap perusahaan atau badan usaha, karena tidak ditentukan oleh kondisi lain. Persyaratan lain yang dimaksud adalah terkait dengan kondisi dan kemampuan perusahaan atau badan usaha sebagai debitur untuk memenuhi kewajibannya kepada kreditor. Kemampuan ini dapat dilihat dari berbagai aspek, termasuk keuangan, aset dan atau aset yang dimiliki oleh perusahaan. Hal ini tentu saja dapat merugikan banyak pihak, terutama perusahaan yang masih pelarut dan dapat berdampak pada perekonomian negara. Sebagai negara yang ekonominya berkembang, perusahaan yang memproduksi valuta asing adalah aset penting yang harus dilindungi. Oleh karena itu, ada kebutuhan untuk perubahan dalam UU Kepailitan untuk menegaskan dan pembatasan tertentu pada subjek yang akan dinyatakan pailit. Putusan Pengadilan Niaga No. 489 / Pailit / 2015 / PN.Jkt.Pst yang memutuskan kebangkrutan PT Tangkuban Perahu Geothermal Power untuk klaim PT. Wirana Nusantara Energy menunjukkan bahwa masih ada sedikit peran hakim dalam melihat dan menganalisis suatu kasus yang tidak hanya positif, tetapi juga secara progresif. Putusan itu kemudian dibatalkan di tingkat kasasi oleh Mahkamah Agung karena upaya kebangkrutan harus menjadi upaya terakhir (ultimum remedium) dan bukan hanya sarana penagihan utang. Jenis penelitian ini adalah penelitian yuridis normatif dengan menggunakan metode pendekatan legislatif dan pendekatan analitik. Penelitian ini bertujuan untuk mengetahui penerapan prinsip going concern dalam proses kebangkrutan. Kata Kunci : Kelangsungan Usaha, Kepailitan The application of Going Concern (business continuity principle) is very rarely applied in bankruptcy cases because the Bankruptcy Law never clearly regulates its arrangements. Due to the absence of special arrangements for this, the judge’s benchmark for deciding bankruptcy cases is solely based on bankruptcy conditions and simple evidence contained in Law No. 37 of 2004 even though for the case the debtor who was filed for bankruptcy is still solvent or in other words still prospective to continue his business even in good faith to pay off his debts. The current Bankruptcy Law does not include insolvency as a requirement for debtors to be declared bankrupt. As stipulated in the Bankruptcy Law and Delay in Obligation of Debt Payment, states that debtors who have financial difficulties to pay their debts, at least of the two debts and one of them is due, can be declared bankrupt by the Commercial Court. These requirements indicate that a bankruptcy application is very easy to file against a company or business entity, because it is not determined by other conditions. Another requirement in question is related to the condition and ability of the company or business entity as a debtor to fulfill its obligations to creditors. This capability can be seen from various aspects, including financial, assets and or assets owned by the company. This of course can be detrimental to many parties, especially companies that are still solvent and can have an impact on the country's economy. As a country whose economy is developing, companies producing foreign exchange are important assets that must be protected. Therefore, there is a need for changes in the Bankruptcy Law to affirm and certain restrictions on the subject to be declared bankrupt. Decision of the Commercial Court No. 489/Pailit/2015/PN.Jkt.Pst which decided the bankruptcy of PT Tangkuban Perahu Geothermal Power for the claim of PT. Wirana Nusantara Energy suggests that there is still a lack of a role for judges in viewing and analyzing a case that is not only positivism, but also progressively. The verdict was later canceled at the cassation level by the Supreme Court because bankruptcy efforts should be the last resort (ultimum remedium) and not just a means of collecting debt. This type of research is normative juridical research using the method of legislative approach and analytical approach. This study aims to determine the application of the going concern principle in the bankruptcy process. Key Words : Going Concern, Bankruptcy.
